In these terms, “CDL Tools”, “we”, “us” and “our” mean SG Paintwork Ltd trading as CDL Tools.

Shopify provides the ecommerce platform used to operate our store, but your contract of sale is with SG Paintwork Ltd.

  1. THESE TERMS

These terms apply when you browse our website or purchase products from us online. They should be read alongside our Privacy Policy, Return and Refund Policy and Shipping Policy, available through the website footer.

Nothing in these terms excludes or restricts any rights that cannot lawfully be excluded, including your rights under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013.

If you do not agree to these terms, you should not use our website or place an order.

  1. ELIGIBILITY AND ACCOUNTS

You must be at least 18 years old and legally capable of entering into a contract to place an order.

You must provide accurate, current and complete information when creating an account or placing an order.

You are responsible for keeping your account credentials secure. Please notify us promptly if you believe that your account has been accessed without permission.

  1. PRODUCT INFORMATION

We take reasonable care to ensure that product titles, descriptions, specifications, photographs and prices are accurate.

Product colours and appearance may vary slightly because of screen settings, lighting, manufacturer updates or production variations.

Manufacturer images may sometimes show optional accessories that are not included. The written product description and contents list determine what is supplied.

Manufacturers may update product specifications, packaging or appearance without notice, provided that the product remains materially equivalent and suitable for its stated purpose.

If you require a particular specification, compatibility or included component, contact us before ordering.

  1. TOOL AND VEHICLE GUIDANCE

Information supplied through our website, Job Tool Finder, Ask Geoff feature, product descriptions or customer support is intended as practical product guidance.

Vehicle specifications can vary according to model year, engine, transmission, trim, axle, braking system and production date. Before starting work, you must confirm tool fitment, fixing types, torque settings, safety procedures and repair instructions using reliable vehicle-specific technical information.

Unless we expressly confirm otherwise in writing, general guidance does not guarantee that a particular tool is suitable for every version of a vehicle or every repair procedure.

This does not affect your statutory rights where a product has been expressly recommended by us for a particular purpose made known to us.

  1. PRICES AND VAT

All customer-facing prices are shown in pounds sterling and include UK VAT at the applicable rate unless clearly stated otherwise.

Delivery charges and any other applicable costs will be shown before you complete checkout.

Prices and promotions may change without notice, but changes will not affect an order that we have already accepted.

If an obvious pricing error occurs, we may contact you to confirm whether you wish to proceed at the correct price or cancel the affected item and receive a full refund.

Prices offered through our tool vans, trade counter, promotional events, marketplaces or third-party sales channels may differ from prices shown on this website.

  1. PLACING AN ORDER

Submitting an order constitutes an offer to purchase the products in your basket.

An automated acknowledgement confirms that we have received your order but does not necessarily mean that it has been accepted.

A contract is formed when we confirm acceptance or dispatch the goods, whichever occurs first.

We may refuse or cancel an order where:

• A product is unavailable
• Payment cannot be authorised
• The delivery address is outside an area we serve
• Product or pricing information contains an obvious error
• We reasonably suspect fraud, misuse or unlawful activity
• A quantity restriction applies

If we cancel an order after taking payment, we will refund the amount paid for the cancelled goods.

  1. PRODUCT AVAILABILITY AND DROPSHIPPING

Some products are dispatched directly by manufacturers, suppliers or fulfilment partners, including selected Sealey and other supplier products.

Stock information can change before supplier systems are updated. If an ordered item becomes unavailable, we will contact you and offer an estimated delivery date, a suitable alternative or a refund.

Products from different suppliers may arrive in separate deliveries without additional standard-delivery charges unless agreed otherwise.

  1. PAYMENT

Payment must be made using one of the payment methods offered at checkout.

You confirm that you are authorised to use the payment method supplied.

Payments may be processed by Shopify Payments, PayPal or another authorised payment provider. Those providers may apply their own terms and security checks.

Any separately arranged finance or tool-account agreement is governed by its own terms and does not automatically form part of an online card purchase.

  1. DELIVERY

We currently deliver online orders within the United Kingdom to the locations supported at checkout.

Our normal standard-delivery estimate is 2–4 business days. Delivery dates are estimates unless we expressly agree a guaranteed date.

We will deliver consumer orders without undue delay and normally within 30 days unless another period has been agreed.

We are responsible for consumer goods until they are delivered into your physical possession or that of a person you identified to receive them. This does not apply where you independently appoint a carrier that we did not offer.

Please inspect deliveries promptly and notify us if goods arrive damaged, incomplete or incorrect.

Large, heavy, hazardous or restricted products may require a specialist service, additional charge, delivery quotation or collection arrangement.

  1. CANCELLATIONS, RETURNS AND REFUNDS

Consumer cancellation, return, faulty-goods and refund rights are explained in our Return and Refund Policy, available through the website footer.

Eligible consumers normally have 14 days after receiving an online order to notify us that they wish to cancel, followed by a further 14 days to return the goods.

Goods must be of satisfactory quality, fit for purpose and as described. Your statutory rights are not affected by a manufacturer’s warranty or by anything in these terms.

Business purchases do not receive consumer cancellation rights unless we agree otherwise.

  1. WARRANTIES

Where a product includes a manufacturer’s warranty, the warranty period and conditions will be stated on the product, packaging, manufacturer’s information or product listing.

Manufacturer warranties are additional to any statutory rights that apply.

Consumable items, normal wear, accidental damage, misuse, unauthorised modification and use outside the manufacturer’s instructions may not be covered by a manufacturer’s warranty.

  1. BUSINESS CUSTOMERS

This section applies where products are purchased wholly or mainly for business, trade, craft or professional purposes.

Business customers are responsible for ensuring that products are suitable for their intended commercial use and that operators are appropriately trained.

Any credit terms, retention-of-title provisions, weekly payment arrangements or van-account limits agreed separately with CDL Tools will continue to apply in addition to these website terms.

Consumer-only cancellation rights do not apply to business purchases.

  1. LIABILITY

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Breach of your statutory consumer rights
• Defective products where liability cannot lawfully be excluded

If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these terms or failure to use reasonable care and skill. We are not responsible for losses that were not foreseeable when the contract was formed.

We are not responsible for business losses suffered by a consumer, including loss of profit, revenue, contracts, opportunity or business interruption.

If you are a business customer, we will not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of anticipated savings or business interruption, except where liability cannot legally be excluded.

You remain responsible for following product instructions, workshop safety procedures and vehicle-manufacturer repair information.

  1. EVENTS OUTSIDE OUR CONTROL

We are not responsible for delay or failure caused by events outside our reasonable control, including severe weather, transport disruption, supplier failure, industrial action, telecommunications failure, fire, flood, epidemic, government action or other exceptional events.

We will take reasonable steps to minimise the effect of such events and will contact affected customers where appropriate.

  1. WEBSITE USE

You may use this website only for lawful purposes.

You must not:

• Introduce viruses or malicious code
• Attempt unauthorised access to the website or connected systems
• Interfere with website operation or security
• Use the website fraudulently
• Copy or commercially exploit website content without permission
• Use automated systems in a way that damages, overloads or disrupts the service

We may suspend or restrict access where reasonably necessary to protect customers, our business or the website.

  1. INTELLECTUAL PROPERTY

Website text, layout, graphics, CDL Tools branding and original content are owned by or licensed to SG Paintwork Ltd.

Manufacturer names, logos, photographs and trademarks belong to their respective owners and are used for product identification and authorised promotion where applicable.

Nothing in these terms transfers ownership of any intellectual-property rights to you.

  1. THIRD-PARTY SERVICES AND LINKS

The website may contain links to third-party websites or services.

We are not responsible for third-party content, availability or privacy practices. You should review the relevant third party’s terms before using its services.

This does not affect our responsibility for products purchased directly from CDL Tools.

  1. PRIVACY

We process personal information in accordance with our Privacy Policy.

Shopify and our authorised payment, delivery and technology providers may process personal information where necessary to operate the store, process payments, prevent fraud and fulfil orders.

  1. REVIEWS AND SUBMITTED CONTENT

If you submit a review, photograph or other content, you confirm that it is accurate, lawful and does not infringe another person’s rights.

You give us permission to display and use that content for operating and promoting CDL Tools, unless otherwise agreed.

We may remove unlawful, misleading, abusive or irrelevant content.

These terms and any contract between you and us are governed by the laws of England and Wales.

If you are a consumer resident elsewhere in the United Kingdom, you retain any mandatory protections provided by the law applicable where you live.

Consumers may bring proceedings in the courts that have jurisdiction under applicable consumer law.

Business customers agree that the courts of England and Wales will have exclusive jurisdiction.

  1. CHANGES TO THESE TERMS

We may update these terms to reflect changes in our services, business practices or legal obligations.

The terms applicable to an order are those in force when the order is placed. Changes will not retrospectively alter an accepted order.
